1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the Stocks & Signals website, platform, reports, tools, alerts, and all related services (collectively, the "Service").
By accessing or using the Service, creating an account, or subscribing to any plan, you ("Subscriber," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify existing subscribers of material changes by email at least thirty (30) days before such changes take effect. Continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms.
2. Nature of the Service
2.1 General Description
Stocks & Signals is an independent data and analytics platform. The Service provides: (a) industry reports containing value chain analysis, market concentration scoring, and ranked assessments of publicly traded securities; (b) valuation ratings (Undervalued, Fair Value, or Overvalued) generated by a proprietary quantitative methodology; (c) model-derived buy and sell zone analysis based on valuation anchors; (d) disruption scenario projections with pre-mapped potential beneficiaries and at-risk securities; (e) screening and analytical tools, including supply chain overlap scanning, cross-holding dependency viewing, and scenario exposure exploration; (f) automated price alerts and disruption notifications triggered by objective, predefined conditions.
2.2 Impersonal and General Content
All content provided through the Service — including reports, ratings, scores, buy zones, sell zones, alerts, scenario analyses, and screening tool outputs — is general, impersonal, and not tailored to the investment needs, financial situation, risk tolerance, investment objectives, or knowledge and experience of any individual subscriber. The same content is delivered to all subscribers of the same service tier without differentiation.
2.3 What the Service Is Not
The Service does not constitute and shall not be construed as: (a) personalized investment advice or any other financial service within the meaning of the Swiss Financial Services Act (FinSA/FIDLEG); (b) a personal recommendation to buy, sell, or hold any particular security, portfolio of securities, or investment strategy for any specific person; (c) portfolio management, investment supervision, or the exercise of discretionary authority over any subscriber's assets; (d) tax advice, legal advice, or accounting advice; (e) an offer or solicitation to buy or sell any financial instrument, to enter into any transaction, or to conclude any legal act; (f) a suitability or appropriateness assessment of any financial instrument or investment strategy. Screening and analytical tools provided through the Service accept user-specified inputs and return factual data; they do not generate personalized recommendations.
The Service does not execute trades, receive or transmit orders, provide access to trading venues, or offer any order-routing or brokerage functionality.
3. No Advisory Relationship
3.1 No Client Relationship
Use of the Service does not establish an investment advisory, fiduciary, client, or any other advisory relationship between Stocks & Signals and any subscriber. Subscribers are not "clients" within the meaning of FinSA or any other financial services regulation.
3.2 No Suitability or Appropriateness Assessment
We do not collect, request, or use information regarding your investment objectives, financial situation, risk tolerance, time horizon, net worth, income, or investment knowledge and experience. We do not assess the suitability or appropriateness of any financial instrument, investment strategy, or analytical output for any subscriber.
3.3 No Portfolio Review or Monitoring
Subscribers do not receive the initial or ongoing review, assessment, or monitoring of their individual investment portfolios or individual financial needs.
4. Buy Zones, Sell Zones, and Alerts
4.1 Buy and Sell Zones
Buy zones and sell zones published by the Service represent price ranges that our proprietary models consider analytically attractive or elevated based on quantitative valuation analysis. These are model-driven analytical assessments generated per financial instrument, not per subscriber. They are identical for all subscribers and do not constitute personal recommendations or solicitations to buy or sell securities at any particular price. All entry and exit decisions remain solely the responsibility of the subscriber.
4.2 Price Alerts and Notifications
Price alerts and disruption notifications are triggered by objective, predefined conditions, such as a security's price entering a model-defined zone or a geopolitical event affecting mapped supply chain segments. Alerts are automated, impersonal, and delivered identically to all subscribers of the relevant service tier. They do not constitute personal recommendations, solicitations to trade, or investment advice.
5. Subscriber Responsibilities
5.1 Own Investment Decisions
You are solely responsible for your own investment and trading decisions. Before acting on any information obtained through the Service — including ratings, buy zones, sell zones, alerts, or any other analytical output — you should independently evaluate whether such action is appropriate for your individual circumstances and, where appropriate, consult a licensed financial adviser, tax professional, or attorney.
5.2 Acknowledgment of Risk
You acknowledge and agree that: (a) trading and investing in securities involve significant risks, including the possible loss of the entire invested capital; (b) past performance, back-tested results, and model projections are not reliable indicators of future results; (c) there is no guarantee that any rating, buy zone, sell zone, alert, or other output generated by the Service will be accurate or profitable; (d) the Service makes no representation that any subscriber will or is likely to achieve profits or losses similar to any examples or historical results presented.
5.3 Compliance with Applicable Law
You are responsible for ensuring that your use of the Service and any investment decisions made in connection therewith comply with all applicable laws and regulations in your jurisdiction.
6. Subscription and Payment
6.1 Plans and Pricing
The Service is offered through multiple subscription tiers. Current pricing, features, and plan descriptions are set forth on the Service's pricing page and may be updated from time to time. We will notify existing subscribers of pricing changes at least thirty (30) days before such changes take effect.
6.2 Billing
Subscriptions are billed on a recurring basis (monthly or annually, as selected by the subscriber). By subscribing, you authorize us to charge the applicable fees to your designated payment method on each billing date.
6.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of the current billing period. No partial refunds are provided for unused portions of a billing period.
7. Intellectual Property
7.1 Ownership
All reports, data compilations, analyses, visualizations, methodologies, rankings, editorial commentary, software, and other materials published or made available through the Service (collectively, "Content") are the intellectual property of Stocks & Signals and are protected by applicable copyright, trademark, and other intellectual property laws.
7.2 License to Subscribers
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Content solely for your own personal, non-commercial investment research purposes.
7.3 Restrictions
You shall not, without our prior written consent: (a) redistribute, republish, sublicense, or resell any Content, in whole or in part; (b) use any Content for commercial purposes, including but not limited to incorporation into competing products, newsletters, or research services; (c) systematically download, scrape, or extract Content through automated means; (d) remove, alter, or obscure any copyright, trademark, or other proprietary notices.
7.4 Public Domain Data
Data sourced from public databases (including but not limited to regulatory filings and government statistical agencies) remains in the public domain. Our proprietary analysis, rankings, scores, methodologies, editorial commentary, and presentation thereof do not.
8. Disclosure of Interests
The publisher and contributors to Stocks & Signals may hold positions in securities discussed in our publications. We seek to manage potential conflicts of interest in a manner we consider appropriate, but we do not undertake to disclose every transaction or holding in real time.
9. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR COMPLETE.
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STOCKS & SIGNALS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO STOCKS & SIGNALS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 Investment Losses
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR FINANCIAL DAMAGES OF ANY KIND ARISING FROM YOUR RELIANCE ON ANY CONTENT, RATING, BUY ZONE, SELL ZONE, ALERT, SCENARIO PROJECTION, OR OTHER OUTPUT OF THE SERVICE. ALL INVESTMENT DECISIONS ARE MADE AT YOUR OWN RISK.
11. Indemnification
You agree to indemnify, defend, and hold harmless Stocks & Signals and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your investment or trading decisions; or (d) your violation of any applicable law or regulation.
12. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any losses arising from unauthorized access to your account where such access results from your failure to safeguard your credentials.
13. Privacy
We collect and process personal data in accordance with our Privacy Policy, available at stocksandsignals.com/legal/privacy. By using the Service, you consent to such processing as described therein.
We collect information necessary for account management and service delivery, including email address, name, and payment information. We do not collect investment portfolio data, information about your financial situation, risk tolerance, or investment objectives. We do not sell personal data to third parties. We comply with the Swiss Federal Act on Data Protection (nFADP) and, where applicable, the EU General Data Protection Regulation (GDPR).
14. Regulatory Status
14.1 Swiss Law
This publication constitutes advertising within the meaning of Article 68 of the Swiss Financial Services Act (FinSA/FIDLEG). It serves information purposes only and does not constitute financial research within the meaning of applicable Swiss self-regulatory standards. It constitutes neither a recommendation for the purchase or sale of financial instruments nor an offer or an invitation to make an offer. No responsibility is taken for the correctness of this information.
Stocks & Signals is not authorized or supervised by the Swiss Financial Market Supervisory Authority (FINMA) as a bank, securities firm, portfolio manager, or trustee. The Service operates as a bona fide financial publication of general and regular circulation and is intended to qualify for the publisher's exclusion under Section 202(a)(11)(D) of the Investment Advisers Act of 1940. All content is impersonal, is not tailored to any individual subscriber, and is available to all subscribers of the same tier on equal terms.
14.3 Other Jurisdictions
The Service may not be available or appropriate for use in all jurisdictions. It is your responsibility to determine whether your access to and use of the Service complies with applicable local laws and regulations. We make no representation that the Content is appropriate or available for use in any particular jurisdiction.
15. Modifications to the Service
We reserve the right to add, modify, suspend, or discontinue any feature, tool, or aspect of the Service at any time with or without notice. We may change coverage industries, publication schedules, and analytical methodologies. Material changes that affect the core Service will be communicated to active subscribers via email.
16. Termination
16.1 By You
You may terminate your account and subscription at any time through your account settings or by contacting us.
16.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to cases of breach of these Terms, suspected fraudulent activity, or redistribution of Content. In the event of termination by us without cause, we will refund any prepaid fees for the unused portion of the then-current billing period.
16.3 Effect of Termination
Upon termination, your right to access the Service and any Content will cease immediately. Sections 3, 5, 7, 8, 9, 10, 11, and 17 shall survive termination.
17. General Provisions
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of laws principles.
17.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Canton Zurich, Switzerland.
17.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
17.4 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Stocks & Signals with respect to the Service and supersede all prior or contemporaneous communications and proposals.
17.5 Waiver
No failure or delay by us in exercising any right under these Terms shall constitute a waiver of that right.
17.6 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
